Terms of Use

1. Purpose and scope of the service

DevelShops provides the Merchant with a technology platform that includes an online storefront, an administration panel (ERP), a subdomain of the form yourstore.develshops.com with an SSL certificate, and integrations with third-party services (payment, shipping, e-invoicing, analytics, among others). DevelShops provides the software and infrastructure; it is not a party, seller, buyer or intermediary in the commercial transactions the Merchant carries out through the store.

2. Registration, account and credentials

To create a store, the Merchant must provide truthful, complete and up-to-date information and confirm their email address. The Merchant declares they are of legal age and have the legal capacity to contract, or hold sufficient authority to represent the legal entity being registered.

The Merchant is solely responsible for keeping their access credentials confidential and for all activity carried out under their account, and must notify DevelShops immediately of any unauthorized use. DevelShops is not liable for losses arising from a breach of this obligation. We recommend changing the initial password on first login.

3. Plans, prices and fees

Use of the Platform may be subject to a subscription fee and/or a commission on sales, depending on the plan. The terms in force for each plan (fee, commission, limits and features) are disclosed at sign-up and/or in the Merchant's panel. DevelShops may change prices and fees with reasonable prior notice; changes do not apply retroactively to periods already paid.

Platform fees are independent of any commissions, charges or withholdings applied by payment processors, banks or other third parties, which are borne by the Merchant. Non-payment entitles DevelShops to suspend or terminate the service under section 14.

4. Merchant obligations

The Merchant agrees to:

• Use the Platform in good faith and in accordance with the law and accepted standards of conduct.
• Offer and sell only lawful products and services that they have the right to dispose of.
• Provide buyers with truthful information about prices, stock, features, timeframes and sale conditions.
• Comply with consumer protection rules (Law 24.240 and related regulations), including returns policy and the right of withdrawal where applicable.
• Comply with all tax, customs and other obligations arising from their activity (see section 8).
• Keep their contact and billing information up to date.

5. Prohibited conduct and content

It is expressly forbidden to use the Platform to:

• Sell unlawful, counterfeit, stolen, dangerous or legally restricted goods or services.
• Infringe the intellectual property, industrial property, image or privacy rights of third parties.
• Publish defamatory, discriminatory, violent, illegally sexual, misleading or fraudulent content.
• Engage in spam, phishing, malware distribution or any activity that compromises the security of the Platform or third parties.
• Impersonate others, use false data or bypass the Platform's technical and security measures.
• Overload, breach, reverse-engineer or attempt to access DevelShops systems or data without authorization.

Breach entitles DevelShops to remove content and/or suspend or terminate the account without prior notice, under section 14.

6. Relationship with buyers

The sale is concluded solely between the Merchant and their end customer. DevelShops is not a party to that relationship: it does not warrant, sell, deliver or answer for the products or services offered, nor for performance, quality, delivery, warranty or after-sales of the transactions. Any buyer claim is handled by the Merchant, who is responsible to the consumer under applicable law.

7. Third-party payments and shipping

The Platform may integrate with payment processors (e.g. MercadoPago), shipping services and other providers. Those services are governed by each provider's terms and fees, with whom the Merchant maintains a direct relationship. DevelShops does not manage or hold sale proceeds —which are credited under the chosen processor's rules— and is not liable for delays, rejections, withholdings, errors or breaches by such third parties.

8. Tax obligations

The Merchant is solely responsible for assessing, declaring and paying all taxes arising from their activity, and for issuing the corresponding receipts before the tax authority (AFIP/ARCA or the competent body). Any e-invoicing features the Platform may offer are a tool operated under the Merchant's responsibility and credentials; DevelShops assumes no tax liability for their use.

9. Intellectual property

The Platform, its software, source code, design, brand, logos and documentation are the exclusive property of DevelShops / Develone LLC and are protected by intellectual and industrial property law. The Merchant acquires no rights over them beyond a limited, non-exclusive, non-transferable and revocable license to use them, granted while the service is active.

Content the Merchant uploads to their store (brand, text, images, catalog) belongs to them or is duly licensed. The Merchant grants DevelShops a non-exclusive, limited license to host, reproduce and display that content for the sole purpose of providing the service.

10. Personal data and privacy

The processing of personal data is governed by Law 25.326 on Personal Data Protection (and any laws amending or replacing it). Regarding the Merchant's end customers' data, the Merchant acts as the data controller and DevelShops as the data processor, processing such data only to provide the service and according to the Merchant's instructions. The Merchant undertakes to obtain consent and to inform their customers as required by law. The processing of the Merchant's account data is detailed in the Privacy Policy.

11. Availability, support and backups

DevelShops strives to keep the service continuously available but does not guarantee it will be uninterrupted or error-free. The service may be interrupted due to maintenance, updates, third-party failures or force majeure. DevelShops performs periodic backups for operational purposes; this does not relieve the Merchant from keeping copies of their own information where they deem it necessary.

12. Limitation of liability

The Platform is provided "as is" and "as available". To the maximum extent permitted by law, DevelShops shall not be liable for indirect damages, loss of profit, loss of data, sales or business opportunities arising from the use of or inability to use the service, nor for acts of third parties (payment processors, shipping services, connectivity). In any case, DevelShops' total liability to the Merchant shall be limited to the amount actually paid by the Merchant to DevelShops in the three (3) months prior to the event giving rise to the claim.

13. Indemnity

The Merchant shall hold DevelShops, Develone LLC and its officers, employees and collaborators harmless from any claim, demand, penalty, damage or expense (including reasonable legal fees) arising from: the Merchant's use of the Platform, the products or services they sell, the content they publish, the breach of these Terms or the law, and claims from their end customers or third parties.

14. Suspension and termination

DevelShops may suspend or terminate the account, in whole or in part, in the event of breach of these Terms, non-payment, misuse, request from a competent authority or risk to the security of the Platform or third parties. Depending on severity, it may do so with or without prior notice. The Merchant may request the termination of their account at any time. Termination does not give rise to a refund of periods already paid, unless required by law. After termination, DevelShops may delete the associated information after a reasonable period, without prejudice to any retention required by law.

15. Changes

DevelShops may change the service and these Terms to reflect legal, technical or business changes. The version in force will always be published on this page with its update date. Material changes will be communicated through a reasonable means (e.g. the registered email or a notice in the panel). Continued use of the service after the effective date implies acceptance of the updated version.

16. Assignment

The Merchant may not assign or transfer their account or the rights and obligations under these Terms without DevelShops' prior written consent. DevelShops may assign its contractual position to affiliated or successor companies, notifying the Merchant.

17. Governing law and jurisdiction

These Terms are governed by the laws of the Argentine Republic. For any dispute, the parties submit to the ordinary courts of the City of Buenos Aires, waiving any other venue or jurisdiction that might apply.

18. Domicile and notices

DevelShops' communications to the Merchant will be validly sent to the email address registered in their account. The Merchant's communications to DevelShops will be sent to contacto@develone.com. It is the Merchant's responsibility to keep their email up to date and to check their inbox, including the spam folder.
